Me Jérôme Guex has been a licensed attorney since 1998, primarily practicing in commercial law with a focus on corporate law. He assists governing bodies of various legal entities—whether for-profit or non-profit, public or private—in ensuring effective, compliant, and well-adapted governance tailored to their legal and strategic environments.

He is involved in setting up and optimizing decision-making structures such as boards of directors or general meetings of public limited companies, as well as association committees or foundation boards. He implements governance practices aimed at strengthening the legitimacy, transparency, and efficiency of the diverse entities he advises.

Me Guex supports his clients in mergers and business transfers, and in negotiating shareholders’ agreements. He also accompanies clients in reviewing and setting up financing structures according to the different stages of their company’s development. Additionally, he represents clients in judicial proceedings before civil courts as well as in proceedings before market supervisory authorities (COPA/FINMA).

He has a particular interest in ethical issues in governance and family business succession, fields in which he has developed specialized expertise.

He holds a law degree  from the University of Geneva (1995) and worked in a law firm in New York before completing his legal apprenticeship at a firm in Geneva. He holds a Certificate of Advanced Studies (CAS) in Compliance Management (banking regulatory compliance) from the University of Geneva and the Geneva School of Business Administration (HEG), as well as a Master of Advanced Studies (MAS) / LL.M. in Taxation. He co-authored, alongside Professor Zen-Ruffinen, the commentary on the articles of the Swiss Code of Obligations relating to the different forms of share capital increases in public limited companies, published in the Commentaire romand du Code des obligations, 3rd edition.
